Terms of Service

These Terms of Service ("Terms") govern your use of nebraskaregisteredagent.co (the "Site") and the registered agent services ("Services") provided by Nebraska Registered Agent.co ("we," "us," "our"). By using the Site or purchasing Services, you agree to these Terms.

1. What's Included

Nebraska Registered Agent.co provides:

• A physical Nebraska street address that satisfies the state's registered office requirement
• Acceptance of service of process and Secretary of State correspondence during normal business hours
• Same-day scanning and email delivery of documents received at that address
• Reminders ahead of your Nebraska biennial report deadline
• A secure online portal for document access and storage

We are not a law firm, and nothing here is legal, tax, or accounting advice.

2. Eligibility

You must be 18 or older with authority to act on behalf of the entity you're enrolling. Information provided at signup must be accurate, and keeping it current is your responsibility.

3. Pricing

• $99 per year, billed at enrollment and each annual renewal
• Accepted payment methods are shown at checkout
• A failed charge triggers a notice, and Services may be paused until it's resolved
• We'll give at least 30 days' notice before any price change takes effect on your renewal

4. Term and Renewal

Your term begins the day you enroll and runs twelve months, renewing automatically at the then-current rate unless you cancel beforehand.

5. Your Responsibilities

• Keep your entity information with us accurate and current
• Tell us promptly if your entity's name, status, or contact details change
• Check your portal and act on scanned documents within a reasonable window
• Stay in good standing with the Nebraska Secretary of State
• File the correct designation naming us as your registered agent

6. How We Handle Documents

• Documents are accepted Monday through Friday, 9 AM to 5 PM Central Time, excluding Nebraska state holidays
• We scan and deliver electronically the same business day in the large majority of cases
• We take no responsibility for the content or legal consequences of anything delivered to us
• Service of process is scanned free with no annual limit; your first three pieces of government mail each calendar year are scanned free as well
• Mailing the physical original to you — or scanning beyond the free government-mail allotment — is available for a separate per-piece charge; it is not part of the $99/year fee
• Physical originals are kept for a limited period after scanning, then securely destroyed

7. No Legal or Tax Advice

We are a document and compliance service, not attorneys or accountants. We do not provide legal opinions, tax guidance, or entity-formation counsel. For those matters, consult a licensed professional.

8. Limitation of Liability

To the extent the law allows:

• Our total liability is capped at what you paid us in the 12 months before a claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable if you fail to act on documents we've scanned and delivered to you
• We are not liable for delays caused by events outside our reasonable control

9. Indemnification

You agree to defend and hold Nebraska Registered Agent.co, its owners, staff, and contractors harmless from third-party claims, losses, or expenses (including attorney fees) arising from your use of the Services or a breach of these Terms.

10. Cancellation

• Email support@nebraskaregisteredagent.co to cancel
• Cancellation takes effect at the end of your paid term
• Refunds for unused time are at our discretion, not guaranteed
• After cancelling, you must name a replacement registered agent with the Nebraska Secretary of State

11. Suspension or Termination

We may suspend or terminate Services if payment goes unresolved after notice, if information you provided turns out to be materially false, or if continuing would violate the law.

12. Governing Law

These Terms are governed by Nebraska law, and any dispute is resolved in Nebraska courts. You consent to that jurisdiction.

13. Changes to These Terms

We may update these Terms periodically. Updates post here with a new effective date, and continued use of the Site after that means you accept them.

14. Severability

If a court finds part of these Terms unenforceable, the remaining provisions stay in effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, make up the complete agreement between you and Nebraska Registered Agent.co regarding the Services.
